RTL securitization

RTL securitization pools residential transition loans (short-term bridge, fix-and-flip and similar loans on residential property) into a trust that issues bonds to investors, who are repaid from the loans’ payments and payoffs.

How RTL securitization works

A residential transition loan (RTL) is a short-term, business-purpose loan used to buy, renovate or reposition residential property, such as a fix-and-flip or bridge loan. Aggregators buy RTLs from originating lenders, and once they hold a large enough pool, they sell it to a trust. The trust issues bonds in classes: senior classes are paid first and carry the highest ratings, and junior classes absorb losses first in exchange for higher yields.

Because RTLs pay off within months, many RTL deals use a revolving period: as loans repay, the trust buys new eligible loans to keep the pool invested. Eligibility criteria set limits on loan-to-value, loan-to-cost, borrower experience, property type and loan size.

Rating agencies have published dedicated criteria. Morningstar DBRS finalized an RTL module for its U.S. RMBS methodology in August 2023, and KBRA released a U.S. RTL securitization rating methodology in March 2026 that covers originator and servicer reviews, third-party due diligence, asset analysis and deal structure.

Why it matters to a private lender

Securitization is a major source of capital behind the loan buyers and capital providers that purchase private lenders’ loans. It explains why buyers ask for standardized tapes, tight eligibility criteria, clean documents and consistent servicing: loans that fit a securitization’s criteria are easier to finance.

Example

Hypothetical. An aggregator buys bridge loans from many lenders and pools them in a trust; a loan with an unusual property type or missing draw records may not meet the pool’s criteria.

Where Lender Capital fits

Lender Capital places first-lien, business-purpose real estate loans with capital partners. You apply once, then submit each loan with the full file. We send it only to capital partners whose criteria it fits, one partner funds the whole loan at closing and it is assigned to them. You keep your points (less the placement fee), earn the spread above the partner’s rate and service the loan. You pay a placement fee only when a loan funds.

Lender Capital is a business-to-business platform. This page is general information, not legal, tax or securities advice. Terms of warehouse lines and other funding sources vary by provider; confirm them with each provider and your counsel.
